As of the Closing Date, the Portfolio Assets comprise those financial or other investments or instruments that the Issuer authorises the Portfolio Manager to purchase or originate on its behalf from time to time under the Portfolio Management Agreement.

The Issuer has engaged the services of Fortress European NPL MA I Advisors LLC to perform certain purchase, disposal and management functions with respect to the Portfolio in accordance with a Portfolio Management Agreement effective as of the Closing Date between the Issuer and the Portfolio Manager.
